These Terms of Use (“Agreement”) constitute a legally binding agreement between you and Polish Pages, Inc., a New York Corporation (“Company,” “we,” “us,” or “our”). This Agreement governs your access to and use of our online business directory located at https://polishpages.com (the “Website” or “Site”), including directory listings, blog content, print publications, advertising, hosting, and related services (collectively, the “Services”).
PLEASE READ THIS AGREEMENT CAREFULLY. BY ACCESSING OR USING THE SERVICES, CLICKING “I AGREE,” OR PURCHASING A SUBSCRIPTION, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IT CONTAINS A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER (SECTION 10) THAT AFFECT YOUR RIGHTS.
1. Definitions
- “Services” — the online business directory, print publications, marketing packages, advertising, web development, and hosting services provided by Polish Pages, Inc.
- “Client” — a business or entity that purchases advertising, directory listings, hosting, or marketing services.
- “User” — any individual who visits our Website to search for businesses or consume content.
- “Listing” — the business profile, contact details, and promotional content displayed on the Site or in print.
- “Inactive Listing” — a Listing hidden from public view due to subscription cancellation, expiration, or non-payment. Data is retained but not visible to Users or indexed by search engines.
2. Eligibility and Accounts
To use our Services or purchase a Listing, you must be at least 18 years old and have authority to bind the business entity you represent. By registering, you represent that the information you provide is accurate, complete, and current. You are responsible for the confidentiality of your account credentials. We may verify the existence of your business and suspend accounts that provide false information.
3. Business Listings & Content
3.1 Accuracy of Information
You represent and warrant that you are authorized to create a Listing for the business represented, and that all information provided (business name, address, phone, license numbers) is truthful and not misleading.
3.2 Content License
You retain ownership of the content you submit. By submitting Content, you grant Polish Pages, Inc. a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, display, and distribute your Content in connection with operating and promoting our Services, including: displaying it on PolishPages.com; publishing it in our annual printed directory; and promoting it on our social media channels.
License Duration. For digital content: duration of your active subscription plus 12 months following cancellation or expiration. For print content: once published, the license for that specific print edition is perpetual and irrevocable (printed copies cannot be recalled), applying only to editions published during your active subscription. Upon account deletion and after the wind-down period, we make commercially reasonable efforts to remove your digital content.
3.3 Prohibited Content and Review Integrity
You may not submit content that is defamatory, obscene, violates third-party intellectual property rights, or promotes illegal activities. Advertisers, sponsors, and listing owners may not submit fake reviews, misleading endorsements, undisclosed paid testimonials, fabricated business claims, or content that materially misrepresents experience, identity, results, qualifications, licensing, or affiliation. Sponsored or paid content is clearly labeled, and material connections must be disclosed. We reserve the right to remove any Listing at our sole discretion without prior notice.
3.4 Regulated-Industry Listings
Clients advertising in regulated fields (legal, medical, financial, immigration, insurance, real estate) must comply with all applicable professional and advertising regulations. We do not verify such compliance; the Client bears sole responsibility.
4. Payment Terms & Subscriptions
This section governs paid advertising packages (e.g., Starter, Plus, Pro, Elite).
4.1 Free Trial
We may offer a free trial (currently first month free). Your free trial automatically converts to a paid subscription at the end of the trial unless you cancel before it expires. You will be charged on the first day after the trial ends. You may cancel anytime before conversion via your Account Dashboard. Upon sign-up you receive a confirmation email detailing trial terms, first charge date, and cancellation instructions. If you cancel during the trial, your Listing becomes an Inactive Listing (hidden, data retained, reactivatable anytime).
4.2 Automatic Renewal (Recurring Billing)
Services are sold as recurring subscriptions. By purchasing a monthly or annual plan, you authorize us and our payment processor (Stripe, Inc.) to store your payment method securely and automatically charge the applicable fee at the beginning of every billing cycle until you cancel.
Auto-Renewal Disclosure (NY GBL §527 Compliance). Before purchase, you will be clearly informed that your subscription automatically renews, the renewal price and frequency, and how to cancel. After purchase, you receive a confirmation email with a summary of auto-renewal terms, the amount and date of the next charge, cancellation instructions, and a dashboard link. You may cancel auto-renewal anytime via your Account Dashboard; cancellation takes effect at the end of the current billing period, and you retain access until then.
4.3 Cancellation & Refund Policy
Cancellation (All Plans). You may cancel anytime via your Account Dashboard. Cancellation stops future billing but does not trigger a refund. Paid features remain active until the end of the current period; then your Listing becomes an Inactive Listing (hidden, not indexed). Listing data is retained — nothing is deleted. You may reactivate anytime by subscribing to a paid plan or contacting [email protected].
Refund Policy — Monthly Plans. Non-refundable. Access continues to the end of the current monthly cycle. No partial or prorated refunds.
Refund Policy — Annual Plans. 7-Day Grace Period: full refund within 7 calendar days of purchase by emailing [email protected]; processed within 5–10 business days. After 7 Days: generally non-refundable (immediate resource allocation — print space, SEO setup). No Pro-Rata Refunds. Exceptional Circumstances: reviewed case-by-case at our discretion.
Print Directory Carve-Out. Once a listing is submitted for print production, the print component is non-refundable even within the 7-day grace period (irreversible costs). The digital portion may still be eligible within the grace period.
4.4 Reactivation
Reactivate via your Account Dashboard, by emailing [email protected], or by phone (Section 13). Upon reactivation, your Listing is restored to full visibility with all saved data (may take up to 24 hours to propagate). We retain Inactive Listing data for a minimum of 24 months following the end of your last active subscription; thereafter we may permanently delete it with 30 days’ prior notice to the email on file.
4.5 Price Changes
Price changes for existing subscriptions take effect at the start of the next billing cycle following at least 30 days’ email notice.
4.6 Failed Payments
If your payment method fails, we attempt to charge it up to three times over a 14-day period. If payment cannot be collected, your Listing becomes an Inactive Listing (data retained). Restore by updating your payment method via your Account Dashboard or contacting [email protected].
4.7 Payment Disputes & Chargebacks
Contact [email protected] before initiating a dispute with your bank. If a chargeback is filed, we may make your Listing inactive and suspend account access until resolved. Fraudulent or bad-faith chargebacks may result in permanent termination and deletion of Listing data.
5. Hosting Services
If you purchase managed website hosting, your use is additionally governed by our Hosting Services Agreement and, where applicable, a Data Processing Agreement (GDPR Art. 28). Data handling for hosting is described in our Privacy Policy Section 11. In case of conflict regarding hosting, the Hosting Services Agreement controls.
6. Intellectual Property
All rights to the Services — including the “Polish Pages” brand, the directory database structure, software code, and website design — are the exclusive property of Polish Pages, Inc. You may not scrape, copy, or reverse-engineer our database to create a competing directory or service. Automated data extraction without our prior written consent is strictly prohibited.
7. Automated Tools and AI
We may use automated tools, spam filters, fraud detection, or AI-assisted moderation and content workflows to operate and secure the Services. We do not rely on automated tools to make legally significant decisions about users without appropriate human review where required by law. AI-assisted outputs may be reviewed, edited, rejected, or removed by Company personnel.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, POLISH PAGES, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- No Guarantee of Results: We do not guarantee any specific number of leads, calls, or sales.
- Search Rankings: We do not guarantee specific placement in third-party search engines (governed by third-party algorithms).
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POLISH PAGES, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL).
Aggregate liability cap. To the maximum extent permitted by applicable law, our aggregate liability for all claims relating to the Services shall not exceed:
- for directory/advertising subscription disputes, the fees you paid us in the six (6) months preceding the claim;
- for a specific sponsored article or ad campaign, the fees paid for that disputed campaign;
- for hosting clients, the fees paid for hosting in the six to twelve (6–12) months preceding the claim;
- and in no event less than one hundred U.S. dollars ($100) where a cap applies.
This allocation of risk is a fundamental basis of the agreement. Liability for intentional misconduct, unpaid fees owed to us, or IP misuse is excluded from these caps where the law permits.
10. Dispute Resolution: Binding Arbitration
You and Polish Pages agree to resolve any dispute, claim, or controversy arising out of or relating to the Services or this Agreement (“Dispute”) exclusively through final and binding individual arbitration, except as set out below.
Consumer Due Process. For consumer disputes, this arbitration clause complies with the applicable provider’s consumer due process standards, fee schedules, notice requirements, and small-claims carve-outs.
Small-Claims and Consumer Carve-Out. If you are a consumer (using the Services for personal, family, or household purposes), you may bring an individual claim in your local small-claims court instead of arbitration, if it qualifies.
Administration. Arbitration is administered by the American Arbitration Association (AAA, www.adr.org) or JAMS (www.jamsadr.com) before a single arbitrator, under the applicable consumer or expedited rules. The Federal Arbitration Act (9 U.S.C. §§ 1–16) governs.
Venue. Consumers bringing personal/household/family claims: hearing in the county where you reside. Otherwise: New York City, NY, or another mutually agreeable location.
CLASS / REPRESENTATIVE ACTION WAIVER. YOU AND POLISH PAGES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED. YOU WAIVE ANY RIGHT TO A JURY TRIAL.
If the class/representative waiver is found unenforceable, this entire Section 10 shall be void. Otherwise, any unenforceable portion is severed and the remainder enforced.
Governing Law. The laws of the State of New York, excluding conflict-of-laws rules, govern this Agreement. Subject to the arbitration provision, the state and federal courts in New York, New York have exclusive jurisdiction over matters not subject to arbitration.
11. Copyright Infringement (DMCA)
We comply with the Digital Millennium Copyright Act (17 U.S.C. § 512). Send notices to our designated Copyright Agent:

Your notice must include the elements required by 17 U.S.C. § 512(c)(3): signature; identification of the copyrighted work; identification and location (URL) of the infringing material; your contact information; a good-faith-belief statement; and a statement, under penalty of perjury, that the information is accurate and you are authorized to act. Counter-notices are handled per § 512(g). We terminate repeat infringers where appropriate.
12. Accessibility
Polish Pages, Inc. strives to comply with WCAG 2.1 Level AA. If you experience difficulty accessing content, contact [email protected], and we will make reasonable efforts to provide the information in an accessible format.
13. General Terms
- Modifications: We may update these Terms anytime. For material changes, we will notify you by email or a prominent notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
- Force Majeure: We are not liable for delays or failures from causes beyond our reasonable control.
- Assignment: You may not assign these Terms without our consent; we may assign at our discretion.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- Entire Agreement: This Agreement, together with our Privacy Policy (and Hosting Services Agreement where applicable), constitutes the entire agreement regarding the Services.
- No Waiver: Our failure to enforce any right is not a waiver.
